Quotations
The quotation is intended to be a complete and exclusive statement of the terms of agreement and may not be altered except by a written document signed by both parties.
Pricing quotations are offers of goods and services which may be accepted by signature within 30 days of issue, after which time the quotation is revoked and the pricing and availability of items and services quoted may no longer apply. All prices are in U.S. dollars unless otherwise identified.
Deployment hardware such as conduit and mounting hardware may be required to ensure a reliable and professional installation. Unless expressly stated in a quotation, hardware and installation are not included. beadedstream will be entitled to additional payment if it provides hardware and/or installation.
Orders
RUSH ORDERS: An expediting charge (minimum of 15% of product cost) is applied to rush orders. Contact beadedstream if you require delivery prior to standard delivery time.
INTERNATIONAL ORDERS: beadedstream does not assume responsibility for fees associated with payment processing and wire transfers. Certain payment types may incur additional invoice charges upon payment.
Orders will not be processed until a signed quotation is returned to beadedstream. beadedstream reserves the right to require progress payments as part of this order.
Payment Terms
STANDARD ORDERS (less than $30,000 USD): Net 15 at release for shipment.
LARGE ORDERS (more than $30,000 USD): Progress payments are required for orders more than $30,000 USD. 50% payment is required at the start of fabrication (net 15), and 50% payment is required with proof of release for shipment (net 15)
INTERNATIONAL ORDERS: 100% Prepayment is required before an order is released for shipment.
ALL INVOICES: Payment is required within 15 days of the date of invoice, after which any unpaid balance is subject to an interest rate of 1% per month. If a customer’s account is not paid in a timely manner, beadedstream reserves the right to turn the account over to collections and the customer agrees to pay any and all costs of collections, including court costs and attorney’s fees
Delivery Estimates
Any delivery or installation dates stated are approximations only and are not binding to beadedstream. Timing of actual delivery is subject to circumstances beyond beadedstream’s control. beadedstream is not responsible for damages arising from delay in delivery.
Unless otherwise specified by the recipient, beadedstream determines the method of delivery. Default delivery is Ex-works (EXW) 7810 King Street, Anchorage, AK 99518, USA unless and except as otherwise specified in writing by beadedstream.
Passing of Ownership and Risk
Unless otherwise agreed, if beadedstream installs goods, the risk of ownership passes to the customer when the installation is complete. If beadedstream merely supplies goods, the risk passes to the customer upon tender of goods at the beadedstream premises. If a customer requests shipment from beadedstream premises, all risk of such shipment will be with the customer.
Warranty
beadedstream products have a 1-year warranty from the date of purchase. beadedstream will not warranty items outside of this period. This warranty covers manufacturing and software defects originating from beadedstream and not external factors. Items must be returned and assessed prior to determining warranty eligibility.
Limitation of Liability
Both parties waive all claims for consequential damages against each other. In no event shall beadedstream’s liability exceed the amount of the quotation.
Cancellation Policy
The customer shall pay for any and all unrecoverable costs resulting in cancellation of any order once an order is placed.
Satellite Logger Data Acquisition
beadedstream Satellite Data Loggers (model D605) are designed to transmit temperature data from remote locations to the web. In the event that the customer installs beadedstream DTCs and Data Loggers, the customer assumes full responsibility for the quality of the installation and the quality of delivered data.
Satellite Logger Functionality and Battery Life
Satellite Data Loggers must have a clear view of the sky and the solar panel must face the equator to ensure proper data transmission. Failure to position the logger’s solar panel correctly will compromise satellite communication and battery recharge. Satellite Data Loggers left idle for significant amounts of time without sun exposure should have batteries checked before deployment in the field. Batteries have a finite life expectancy and should be charged annually. Beadedstream reserves the right to void the warranty if logger battery health is not properly maintained.
Integration with CSI Loggers (and Other Third-Party Hardware/Software)
beadedstream may provide a sample CRBasic program to support user integration of DTCs with Campbell Scientific Inc. (CSI) Data Loggers. Sample programs are for reference only. beadedstream does not assume responsibility for performance of CSI or third-party hardware or software.
Equipment at beadedstream Premises
beadedstream offers temporary storage of products and hardware for the purpose of providing repairs, upgrades, or diagnostic services. For items residing at beadedstream premises for more than 90 days after service or repair completion, beadedstream reserves the right to charge a storage fee. If such fees remain unpaid for an additional 30 days following notification, beadedstream may assume ownership of the products/items to offset costs and reserves the right to charge the full original price of the product for its retention or resale.
Rented Equipment
The rental period begins the day the items are shipped or are picked up from the beadedstream shop. The rental period ends when the items are returned and charges are applied for the entire period. Our minimum rental rates are for 30 day periods and continue monthly after this. Rental periods less than 30 days will be charged the minimum amount. Damage to rented equipment is subject to charge and will be assessed within 14 days of the item’s return. In the event that rented items are not returned within 30 days of the agreed-upon rental period end date, the renter will be liable for the Manufacturer’s Suggested Retail Price (MSRP) of the given item.
Technical Support
Every beadedstream project includes four hours of free phone and email customer support for troubleshooting and technical issues related directly to the commissioning of or restoration/repair of products manufactured by beadedstream exclusively. After the four hour allotment is reached, all continuing support over five minutes will be charged $150/hr in 15-minute increments, invoiced monthly. Third party products (e.g. Campbell Scientific data loggers) may be supported at the standard rate of $150/hr in 15-minute increments.
Field Work
beadedstream specialists may be available to travel to site for commissioning or technical support. All costs associated with the field work are to be paid by the customer including labor, mobilization, transportation, lodging and other incidental costs. A quote will be provided in advance for approval.
Project Support
For projects where beadedstream is required to provide consulting-style services, invoices will be issued for actual hours spent, at a rate of $150 per hour per person. These types of services include but are not limited to: attending regular project update meetings, providing project management type activities, reporting, reviewing plan documents, specifications, drawings, and performing take-offs.
End of Service for Hardware and Software
In an effort to provide improved and innovative products to customers, beadedstream reserves the right to limit or cease support of technology that predates the current iteration and that immediately preceding. beadedstream reserves the right to change product design or specifications at any time and without notice.
Venue/Choice of Law
This agreement is governed by Alaska law without respect to its conflict of law provisions. Venue for any dispute shall be state court in the third judicial district, Anchorage, Alaska.
